These Terms of Use (the “Terms”) set forth the conditions for using “Shinsen Memo” (the “Service”) provided by Somedea LLC (the “Provider”). Any person who uses the Service (“User”) shall use the Service only after agreeing to these Terms.
By downloading, installing, accessing, or otherwise using the Service, the User is deemed to have agreed to these Terms. If the User does not agree to these Terms, the User must immediately discontinue use of the Service.
Article 1 (Scope of Application)
- These Terms apply to all relationships between the User and the Provider regarding the use of the Service.
- The Provider may establish additional rules, guidelines, notices, privacy policies, or other provisions relating to the Service (collectively, the “Individual Provisions”).
- The Individual Provisions shall constitute a part of these Terms. In the event of any conflict between these Terms and the Individual Provisions, the Individual Provisions shall prevail.
Article 2 (User Environment)
- Users shall, at their own responsibility and expense, prepare all devices, communication lines, software, and other environments necessary to use the Service.
- The Provider does not guarantee that the Service will function properly on any specific device, operating system, browser, or network environment.
Article 3 (Fees)
- The Service is generally available free of charge.
- The Provider may designate all or part of the Service as paid features or paid services.
- If paid features, subscriptions, or other paid services are introduced, the Provider shall provide advance notice of pricing, payment methods, and applicable conditions through the Service or by other appropriate means.
- Except where required by applicable law, fees already paid are non-refundable.
Article 4 (Intellectual Property Rights)
- All copyrights, trademarks, know-how, and other intellectual property rights related to the Service belong to the Provider or to the respective lawful rights holders.
- Except as permitted by applicable law, Users may not reproduce, modify, distribute, publicly transmit, sell, or otherwise use any content included in the Service without prior authorization from the Provider.
Article 5 (Prohibited Conduct)
Users shall not engage in any of the following acts when using the Service:
- Violating laws or public order and morals
- Engaging in criminal acts or acts related to criminal activity
- Placing excessive load on the Service or third-party servers or networks
- Interfering with the operation of the Service
- Exploiting bugs, vulnerabilities, or malfunctions of the Service
- Using bots, macros, automation tools, or similar means to use the Service
- Reverse engineering, analyzing, modifying, or tampering with the Service
- Impersonating another person or entity
- Unauthorized access or attempts to gain unauthorized access
- Using the Service for commercial purposes without the Provider’s permission
- Republishing or redistributing information obtained through the Service without authorization
- Infringing the intellectual property rights, privacy rights, portrait rights, or other rights of the Provider or third parties
- Improperly obtaining rewards, benefits, or privileges
- Using the Service in a manner beyond its intended purpose
- Any other conduct deemed inappropriate by the Provider for the operation of the Service
Article 6 (Suspension and Termination)
- If a User violates these Terms or if the Provider determines that the User’s conduct is inappropriate for the operation of the Service, the Provider may, without prior notice, suspend the User’s access, delete the User’s account, or take any other necessary measures.
- The Provider shall not be liable for any damages incurred by the User as a result of such measures.
Article 7 (Modification, Suspension, and Termination of the Service)
- The Provider may modify, suspend, or terminate all or part of the Service for maintenance, system failures, specification changes, legal compliance, or other operational reasons.
- The Provider may change the content, appearance, functions, or operation methods of the Service without prior notice to Users.
- The Provider shall not be liable for any damages arising from such modification, suspension, or termination.
Article 8 (Disclaimer)
- The Service is provided on an “AS IS” basis. The Provider makes no warranties regarding completeness, accuracy, usefulness, security, continuity, fitness for a particular purpose, or any other matter relating to the Service.
- The Provider does not guarantee that the Service is free from defects, errors, bugs, vulnerabilities, or legal deficiencies.
- Except in cases of willful misconduct or gross negligence by the Provider, the Provider shall not be liable for any damages arising from the use of or inability to use the Service.
- The Provider does not guarantee the preservation, maintenance, or prevention of loss of any data stored by Users in the Service.
- Users are responsible for backing up their own data as necessary.
- The Service is an independent service and is not affiliated with any third-party games, platforms, or services. The Provider does not guarantee compatibility, continuity, or integration with any third-party services.
- The Service may become partially or entirely unavailable due to specification changes, termination, or restrictions imposed by third-party services.
Article 9 (Handling of Personal Information)
The Provider shall appropriately handle Users’ personal information in accordance with the separately established Privacy Policy.
Article 10 (Withdrawal)
- Users may terminate their use of the Service by following the procedures specified by the Provider.
- Upon withdrawal, any unused rights, benefits, privileges, or data may become invalid.
- The Provider shall have no obligation to retain User data after withdrawal.
Article 11 (Amendments to the Terms)
- The Provider may amend these Terms whenever deemed necessary.
- In the event of material changes, the Provider shall notify Users through the Service or by other appropriate means.
- Continued use of the Service after such amendments shall constitute acceptance of the revised Terms.
Article 12 (Exclusion of Anti-Social Forces)
Users represent and warrant that they are not affiliated with organized crime groups, members of such groups, or other anti-social forces, and that they have no involvement with such entities.
Article 13 (Governing Law and Jurisdiction)
- These Terms shall be governed by and construed in accordance with the laws of Japan.
- Any disputes arising in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Supplementary Provision
These Terms shall take effect on May 10, 2026.
